Terms of Service
Effective date: October 15, 2026
These terms describe the relationship between TruCredits.ai, Inc. (“TruCredits,” “we,” or “us”) and the business or individual accepting them (“you”). They cover our website and, when expressly accepted during onboarding or incorporated into an order, our approved beta services.
1. Scope and acceptance
You must have authority to accept these terms for the business you represent. A beta application requests consideration for access; it does not create a paid subscription. Product access begins through our onboarding process. An agreed order or separate service agreement controls if it conflicts with these terms. A data processing agreement, where applicable, controls the processing of personal data covered by that agreement.
2. Beta access and fees
Applying for beta is free. Any fees for using the service will be disclosed and agreed before they apply, including through electronic acceptance. We may offer free access, paid pilots, or negotiated arrangements. Payment schedules, usage rates, renewal conditions, and any trial expiration or conversion will be stated in the accepted offer or order. Applying alone does not authorize charges.
Beta features may change, be limited, or be discontinued. Unless separately agreed in writing, beta access does not include a service-level guarantee. We will communicate material changes affecting an active engagement and honor the terms of any applicable order.
3. Accounts, agents, and permitted use
You may use the service through authorized people, agents, service accounts, APIs, and MCP integrations within the permissions and limits of your account. Keep credentials secure and notify us promptly of suspected unauthorized access. You are responsible for the permissions and instructions you give your authorized users and agents.
Do not use the service unlawfully, access another account without permission, evade security or usage restrictions, disrupt the service, or reverse engineer proprietary components except where applicable law permits. These restrictions do not prohibit authorized automated access or uses permitted by applicable open-source licenses.
4. A platform serving both sides
Vendor accounts establish their offerings, commercial terms, and customer access. Customer administrators may set spending policies, budgets, and delegated authority within the controls made available to them. A vendor entitlement does not override a stricter customer spending control. The configured integration and applicable agreement determine how authorization and enforcement operate.
You are responsible for reviewing and approving catalogs, pricing, contracts, policies, and generated recommendations before activating them. You must have authority to connect servers and supply information. You remain responsible for your products and your agreements with your customers; TruCredits does not become a party to those agreements by providing the platform.
5. Usage, credits, and billing
Authorization estimates and reservations may differ from final rated consumption. Actual usage, retries, concurrent activity, adjustments, and reconciliation are handled according to the applicable configuration and agreement. Spending controls apply to activity covered by the integration and its enforcement settings. Report suspected discrepancies promptly so they can be investigated.
Credits and commitments represent entitlements or accounting units under the relevant vendor agreement. Their value, expiration, refundability, and permitted use are determined by that agreement. TruCredits does not make them bank deposits or independently promise redemption. Payment collection uses the applicable payment provider and its terms, unless a separate agreement expressly provides otherwise.
6. Customer information and AI processing
You retain ownership of information you provide. You authorize us and our service providers to process it as needed to deliver, secure, maintain, and support the service, including using third-party AI providers for enabled features. This permission does not transfer ownership of your confidential information.
We will not use, or authorize our AI service providers to use, confidential customer content to train general-purpose AI models without your explicit permission. We may improve our service using feedback and aggregated or de-identified usage information that does not identify a person or customer or disclose confidential content. We will not attempt to re-identify information we treat as de-identified.
The Privacy Policy explains our handling of personal information. Processing performed on a business customer’s behalf is also subject to its agreement and any applicable data processing terms.
7. Confidentiality and intellectual property
Each party will protect the other’s nonpublic information with reasonable care, use it only for the relationship, and disclose it only to people and providers who need it and are bound to protect it, or as required by law. This does not cover information independently developed, lawfully received without restriction, already known without restriction, or made public without a breach.
TruCredits retains ownership of its software, documentation, and technology. You may give us feedback voluntarily, and we may use it to improve our products without payment or attribution, while respecting confidential information. We will obtain your permission before using your name or logo as a public customer reference.
8. Third-party services
Integrations may depend on hosting, AI, payment, and other providers. Third-party services you select remain subject to their own terms. We may change our providers, subject to applicable contractual and data protection obligations. You are responsible for permissions needed to connect services you control.
9. Suspension and termination
You may stop using the service, subject to any payment or term commitments you accepted. We may restrict access when reasonably necessary to address security threats, unlawful activity, or a material breach, and will provide notice when practicable. We may end a beta engagement on reasonable notice, subject to an applicable order.
On termination, access ends and accrued obligations remain. Contact us about exporting or deleting your information. Applicable agreements and our retention policy govern the handling of remaining records, including backups and records needed for legal or security purposes.
10. Warranties and liability
Except for commitments expressly made in an applicable agreement, beta services are provided as available and as is, to the extent permitted by law. We do not promise uninterrupted or error-free operation. Nothing in these terms excludes rights or liabilities that cannot legally be excluded.
To the extent permitted by law, neither party is liable for indirect or consequential losses. Each party’s aggregate liability under these terms is limited to the greater of fees paid or payable to TruCredits for the affected service during the preceding twelve months or US$1,000. These limitations do not apply to fraud, willful misconduct, payment obligations, or liability that law does not permit to be limited. A separate agreement may provide a different allocation.
11. Changes, disputes, and contact
We will identify updated terms by their effective date and give reasonable notice of material changes. Changes will not retroactively alter an accepted order. Where acceptance is required, we will request it before applying the revised terms.
